László András Kelemen focuses on corporate, commercial, anti-trust/competition, real estate, regulatory and tax issues, and dispute resolution. He is the permanent legal representative of various international firms in Hungary. He regularly represents international and domestic firms before the Hungarian Competition Authority and advises them on anti-trust/competition issues. He also regularly participates in international and domestic dispute resolution procedures. László has been with the law firm since its establishment under the name of Szabó & Partners in 1996. In 1999 and 2000 he was seconded to the New York office of Ernst & Young LLP as a manager, where he maintained the Hungarian Desk, focusing on investment and tax-related issues. Since 2007 László has featured in Chambers Europe and other similar directories as a leading individual in corporate/M&A and dispute resolution in Hungary. László was named the 2011 “Corporate Lawyer of the Year in Hungary” by Corporate INTL magazine.

Recent Experience:

  • Management of M&A transactions for both vendors and purchasers in Hungary and abroad (e.g. representing a Hungarian-domiciled financial undertaking in the course of selling its shareholding in an online insurance brokerage company, representing a Hungarian credit institution in the course of selling its fleet-service company, providing advice to a global commodities trader on various local company and facility acquisitions in the CEE region, representing a Japanese company during the sale and purchase of its Hungarian stakes, representing a cement manufacturing company in the course of selling its Hungarian subsidiaries and representing a US food producing company, as well as during the sale of construction firms, a private employment agency, and also during the purchase of ‘distressed’ assets);
  • Representing various gambling operators on a permanent basis (both in the online and in the offline sector);
  • Regular co-operation in setting up and operating Hungarian companies and business centres (e.g. representing European, US, Canadian and Indian investors; participating in the foundation of a public warehouse, financial enterprises and other companies);
  • Preparing Hungarian greenfield investments, drafting and negotiating FIDIC contracts (e.g. establishing a Swiss enterprise in Hungary, setting up a warehouse base in Biatorbágy and a gas storage facility in Hungary, and during the investment phase of a vegetable oil plant);
  • Representation before the Hungarian Competition Authority in merger clearance procedures (e.g. for an insurance company), providing representation and advice in antitrust/competition matters (e.g. in the services sector and the money market sector);
  • Competition Authority filing regarding the acquisition of a Hungarian pharmaceuticals logistics company by a global delivery, transportation and logistics company;
  • Representing a building society, home savings bank in a cartel investigation being conducted by the Hungarian Competition Authority;
  • Representing the Hungarian subsidiary of a global insurance company in a cartel investigation being conducted by the Hungarian Competition Authority;
  • Regular participation in dispute settlement procedures before arbitration courts (international/Hungarian) and ordinary courts.
